POND service terms.

Effective date: June 26, 2026.

The Services are operated by POND USA, also referred to as POND, we, us, or our.

By creating an account, connecting a POND device, purchasing products, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

You may use the Services only if you can form a binding agreement under applicable law and are not prohibited from using the Services.

If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization.

You may need an account to use certain app and device features.

You agree to provide accurate and current information, keep your credentials secure, maintain the confidentiality of your account, promptly update information that changes, and notify us if you believe your account has been compromised.

You are responsible for activity under your account, except where prohibited by law.

The app allows provisioning, configuration, monitoring, and control of compatible POND watch winder devices.

Device setup and operation may depend on compatible hardware, supported phone hardware and operating system, Bluetooth or nearby-device access, Wi-Fi and internet connectivity, router settings, firmware version, backend service availability, app version, phone permissions, and system settings.

You agree to use POND hardware according to product instructions, safety guidance, and applicable law.

POND is not responsible for issues caused by unsupported devices, modified hardware, unsafe use, third-party accessories, incompatible networks, misuse, unauthorized repairs, or conditions outside our reasonable control.

Setup may require Bluetooth, nearby-device permissions, Wi-Fi, and internet access.

You are responsible for ensuring that you have authorization to connect a POND device to the Wi-Fi network used during setup.

Setup success may depend on hardware state, firmware, phone settings, router configuration, wireless interference, backend availability, and other conditions.

You may add watch data, preferences, notes, images, and related settings.

You represent that you have the rights needed to provide any content you add and that your content does not violate law or the rights of others.

You remain responsible for the accuracy of watch settings and preferences you enter. Recommended winding settings may be informational and may not fit every watch model, condition, or manufacturer requirement.

Products, variants, prices, availability, discounts, shipping, taxes, payments, and checkout may be powered by Shopify and related providers.

Orders may be subject to additional merchant, payment, shipping, refund, return, and warranty policies presented at checkout or on our website.

Prices and availability may change without notice. We may correct pricing or product errors where permitted by law.

Payments are processed through official checkout channels or payment providers.

Refunds, cancellations, returns, replacements, and warranty coverage are governed by the applicable refund, return, warranty, checkout, and consumer-protection policies, and by applicable law.

Nothing in these Terms limits rights that cannot be limited under applicable consumer-protection law.

You agree not to use the Services unlawfully; attempt unauthorized access to accounts, devices, systems, or networks; interfere with service operation; bypass security or access controls; reverse engineer restricted service components except where allowed by law; or use the Services to harm, disrupt, or compromise devices or users.

You also agree not to submit false, misleading, infringing, harmful, or unlawful content; use automated systems to abuse the Services; share credentials or tokens in an unsafe way; or use the Services in a manner that could damage POND, users, infrastructure, or third parties.

We may suspend or terminate access if you violate these Terms, create risk, misuse the Services, or if continued service is no longer commercially or legally feasible.

We aim to provide reliable service, but we do not guarantee uninterrupted, error-free, or always-available operation.

Features may be unavailable due to maintenance, network issues, backend outages, cloud provider issues, hardware conditions, firmware issues, third-party service outages, security incidents, or events outside our reasonable control.

We may modify, suspend, or discontinue features where needed for security, reliability, legal compliance, product changes, or business reasons.

The Services may interact with third-party services, including app stores, Google, Apple, Shopify, payment processors, hosting providers, support providers, and authentication providers.

Third-party services may have their own terms and privacy practices. We are not responsible for third-party services except where required by law.

Our Privacy Policy explains how we collect, use, disclose, retain, and protect information.

The Services, app, website, software, designs, logos, trademarks, content, and related materials are owned by POND or its licensors and are protected by law. These Terms do not transfer ownership of any POND intellectual property to you.

Subject to your compliance with these Terms, POND grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the app and Services for their intended purpose.

If you provide feedback, suggestions, or ideas, you grant POND permission to use them without restriction or compensation, except where prohibited by law.

To the maximum extent permitted by law, the Services are provided as is and as available.

POND disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation, except where such disclaimers are not allowed by law.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

To the maximum extent permitted by law, POND will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, device availability, or business opportunities, arising from or related to the Services.

To the maximum extent permitted by law, POND's total liability for claims arising from or related to the Services will not exceed the amount you paid to POND for the product or service giving rise to the claim during the 12 months before the claim, or USD $100 if no payment was made.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law.

Where permitted by law, you agree to indemnify and hold harmless POND from claims, damages, liabilities, losses, and expenses arising from your misuse of the Services, violation of these Terms, violation of law, or violation of third-party rights.

You may stop using the Services at any time. You may request account deletion as described in the Account Deletion section.

We may suspend or terminate access if you violate these Terms, create risk, misuse the Services, fail to comply with law, or if we discontinue a feature or service.

Termination does not affect provisions that by their nature should survive, including intellectual property, disclaimers, limitation of liability, indemnity, dispute provisions, and any payment obligations.

Deleting your account may remove access to account-based features and connected device management through the app.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.

Any disputes will be resolved in the state or federal courts with competent jurisdiction in Florida, unless applicable consumer-protection law gives you the right to bring a claim elsewhere.

We may update these Terms from time to time. When we update them, we will post the revised version with a new effective date. Continued use of the Services after updated Terms become effective means you accept the updated Terms, except where additional consent is required by law.
